PUBLIC OFFER AGREEMENT

(for the sale and purchase of goods)

(hereinafter — the “Seller”)

offers any individual or legal entity (hereinafter — the “Customer”) to enter into this agreement under the following terms:

1. General Provisions

1.1. This document constitutes a public offer in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine.

1.2. Placing an order via the website, social media, or any other communication channel constitutes full and unconditional acceptance of this offer.

1.3. The Seller reserves the right to amend this offer at any time without prior notice.

 

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of OMELIA brand goods to the Customer, and the Customer undertakes to pay for and accept such goods.

2.2. Goods may be handmade, created using upcycled materials, or produced in limited quantities.

 

3. Product Uniqueness and Characteristics

3.1. The Customer acknowledges and agrees that:

each OMELIA item is unique

items may differ from images shown on the website (color, texture, details)

identical items may not exist

3.2. Products made from upcycled materials may contain natural characteristics of fabrics, which are not considered defects.

3.3. Color differences may occur due to lighting conditions and screen displays.

3.4. Such characteristics do not constitute defects and are not grounds for returns or claims.

4. Product Care

4.1. Decorative elements (including flowers) are delicate and require careful handling.

4.2. The following is strictly prohibited:

wetting decorative elements

ironing or steaming them

applying mechanical pressure

4.3. The Customer is responsible for following care instructions.

4.4. Damage caused by improper care is not considered a warranty case.

5. Order Placement

5.1. Orders may be placed via:

website

social media

messaging platforms

5.2. The Seller reserves the right to refuse order fulfillment in cases of:

product unavailability

incorrect or incomplete Customer information

6. Price and Payment

6.1. Prices are indicated on the website or agreed individually.

6.2. Payment may be made via:

online payment systems (including international providers)

bank transfer

6.3. For custom or promotional orders, 100% prepayment may be required.

6.4. All payment processing fees and bank charges are borne by the Customer unless otherwise agreed.

7. Delivery

7.1. Delivery is carried out within Ukraine and internationally.

7.2. Delivery times depend on logistics providers and may vary.

7.3. The Seller is not responsible for delays caused by shipping carriers or customs authorities.

7.4. International orders may be subject to customs duties, taxes, or import fees in the destination country — these costs are borne by the Customer.

8. Returns and Exchanges

8.1. Returns are carried out in accordance with Ukrainian law and applicable international practices.

8.2. Return conditions:

the item has not been used

original condition and tags are preserved

8.3. The following items are non-returnable:

custom-made products

personalized orders

accessories and jewelry (where permitted by law)

8.4. Customers in the European Union may have a 14-day right of withdrawal, except for items listed in clause 8.3.

8.5. Differences described in Section 3 are not grounds for return.

9. Liability

9.1. The parties are liable in accordance with applicable law.

9.2. The Seller is not liable for:

improper use of the product

failure to follow care instructions

subjective perception of the product’s appearance

10. Force Majeure

10.1. The parties are released from liability in the event of force majeure circumstances (including but not limited to war, power outages, logistics disruptions, etc.).

11. Personal Data

11.1. The Customer consents to the processing of personal data for the purpose of order fulfillment.

12. Final Provisions

12.1. This agreement enters into force upon acceptance by the Customer.

12.2. All disputes shall be resolved through negotiations or in accordance with applicable law.
